General Terms of Use and Sale
Version of 26 August 2026
These general terms of use and sale (the “Terms”) govern access to and use of the ScolaSign service and the subscription to the associated plans. They apply between the publisher of the service and any professional customer (the “Customer”). The service is reserved for professional use (B2B); it is intended in particular for training organisations, apprenticeship training centres (CFA) and educational institutions. Any subscription to or use of the service constitutes full and unreserved acceptance of these Terms.
1. Publisher of the service
The ScolaSign service is published and provided by Ad Cognita (the “Provider”).
Registered office: 2 impasse de Montargues, 07000 Freyssenet, France
SIRET: 932 943 400 00014
Email: contact@scolasign.fr
2. Purpose of the service
ScolaSign is SaaS (Software as a Service) software for digital attendance sign-in and attendance monitoring: time-stamped electronic signatures of learners and trainers, attendance sheets, management of absences, late arrivals and supporting documents, session scheduling, exports (PDF, Excel, CSV) and communication between the institution, learners and their legal guardians. The service is designed to help training organisations produce evidence of attendance designed for your Qualiopi audits and the expectations of funders.
The service is accessible online, from a web browser, at the address of the dedicated space allocated to the Customer (subdomain of scolasign.fr).
3. Account creation and free trial
Subscription takes place online from the scolasign.fr website. The Customer declares that it is a professional acting in the course of its business and that it has the authority to bind the organisation it represents.
Every new Customer benefits from a free 14-day trial period, without commitment and without a bank card. At the end of the trial period, access to the service is suspended if the Customer has not subscribed to a paid plan. Data entered during the trial is retained for a reasonable period to allow subscription, and is then deleted if no subscription is taken out.
4. Plans and prices
The subscription plans in force on the date of this version are as follows:
| Plan | Monthly price | Capacity |
|---|---|---|
| Essentiel | €79 excl. VAT / month | Up to 80 learners |
| Pro | €149 excl. VAT / month | Up to 250 learners |
| Établissement | €299 excl. VAT / month | Up to 800 learners |
| Enterprise | On quotation | More than 800 learners or specific requirements |
Prices are stated exclusive of taxes. VAT not applicable, Article 293 B of the French General Tax Code (Code général des impôts): the amount displayed is the amount you pay. Should the Provider cease to fall under this scheme, VAT at the applicable rate would be added to the prices exclusive of taxes, without this constituting a price increase. The only pricing variable is the number of active learners; all features are included in every plan. In the event of annual payment, the Customer benefits from two months free (i.e. ten months invoiced for twelve months of service).
The Provider may change its prices. Any price change is notified to the Customer at least thirty (30) days before it takes effect and applies only from the following billing period. A Customer who refuses the new pricing may terminate its subscription before it takes effect.
5. Invoicing and payment
Payment is made by bank card or direct debit via the secure payment provider Stripe, on a monthly or annual basis at the Customer's choice, payable in advance on each due date. Invoices are made available to the Customer in electronic format.
In the event of a failed payment, the Customer is informed and the payment is retried; failing settlement within fifteen (15) days, the Provider may suspend access to the service until payment in full, without prejudice to the statutory late payment penalties applicable between professionals (increased statutory interest rate and fixed recovery fee of €40 per invoice, Article L.441-10 of the French Commercial Code).
6. Term, renewal and termination
The monthly subscription is entered into without a minimum term: it renews tacitly from month to month and may be terminated at any time by the Customer, from its administration area or by email to contact@scolasign.fr. Termination takes effect at the end of the current billing period; sums already paid for the current period remain the property of the Provider.
The annual subscription is entered into for twelve (12) months and renews tacitly for successive twelve-month periods, unless termination is notified before the expiry date; termination then takes effect at the end of the current annual period.
Either party may also terminate the subscription as of right in the event of a serious breach by the other party of its obligations that has not been remedied within thirty (30) days of a formal written notice.
7. Customer's obligations
The Customer undertakes to:
- provide and maintain accurate and up-to-date information (identification, contact details, data of the users it registers);
- use the service lawfully, in accordance with its intended purpose and with applicable regulations, in particular regarding vocational training and data protection;
- manage its users' access (creation, roles, deactivation), keep login credentials confidential and report any unauthorised use without delay;
- inform the data subjects (learners, trainers, legal guardians) of the data processing carried out via the service, in its capacity as controller;
- not attempt to undermine the security or integrity of the service, nor to misuse it (resale, provision to unauthorised third parties, reverse engineering other than in cases permitted by law).
The Customer is solely responsible for the accuracy and lawfulness of the data it enters or has entered into the service, and for the use it makes of the documents produced (attendance sheets, exports).
8. Service availability and maintenance
The Provider uses reasonable efforts to ensure that the service is accessible 24 hours a day, 7 days a week, without any guarantee of absolute availability. Interruptions may occur for scheduled maintenance (notified in advance where possible and carried out outside business hours), urgent corrective maintenance, or in the event of force majeure or a failure attributable to third parties (hosting provider, networks). Such interruptions do not give rise to any right to compensation.
The Provider performs corrective and evolutionary maintenance of the service; updates are included in the subscription.
9. Personal data
The processing of personal data is described in the privacy policy and on the GDPR page.
For the data of learners, trainers and legal guardians recorded by the Customer in the service, the Customer acts as controller and the Provider as processor within the meaning of Article 28 of the GDPR. In this capacity, the Provider processes such data only on the documented instructions of the Customer, implements appropriate technical and organisational measures, ensures the confidentiality of authorised persons, assists the Customer in complying with its obligations (data subjects' rights, security, personal data breaches) and, at the end of the contract, returns or deletes the data at the Customer's choice. The data is hosted exclusively in France.
10. Intellectual property
The ScolaSign service, its brand, its interface, its documentation and all of its software components remain the exclusive property of the Provider. The subscription grants the Customer a personal, non-exclusive, non-assignable and non-transferable right to use the service, for its own needs and for the term of the subscription. The data entered by the Customer and the resulting documents (attendance sheets, exports) remain the property of the Customer.
11. Reversibility and return of data
Throughout the term of the subscription, the Customer may export its data from the service (PDF, Excel, CSV formats). In the event of termination, for whatever reason, the Customer has thirty (30) days from the effective end of the subscription to request the return of its data in a standard, usable format. At the end of this period, the Customer's data is deleted from the Provider's systems, subject to the applicable statutory retention periods.
12. Liability
The Provider is bound by an obligation of means (best-efforts obligation). It shall not be held liable for indirect damage (loss of turnover, loss of opportunity, damage to reputation, loss of funding) nor for damage resulting from non-compliant use of the service, from erroneous data entered by the Customer or from a failure of the Customer's equipment or networks.
In any event, the Provider's total aggregate liability, for all causes combined, is capped at the amount of the sums actually paid by the Customer under the subscription during the twelve (12) months preceding the event giving rise to liability. This limitation does not apply to personal injury or to cases where it is prohibited by law.
13. Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute, the parties will endeavour to find an amicable solution. Failing this, and the Customer being a professional, exclusive jurisdiction is conferred on the courts within whose territorial jurisdiction the Provider's registered office is located, notwithstanding multiple defendants or third-party proceedings for indemnity.
14. Miscellaneous
If any provision of these Terms were held to be void or unenforceable, the other provisions would remain in full force and effect. The Provider may amend these Terms; the applicable version is the one in force on the date of the order or renewal, the current version being permanently published at scolasign.fr/cgu-cgv.html (in French). Any substantial amendment is notified to the Customer at least thirty (30) days before it applies.
